Satispay S.p.A.’s Transfer Its Electronic Money Institution in Luxembourg

Van Campen Liem and Cleary Gottlieb Steen & Hamilton have advised Satispay on all aspects related to its establishment in Luxembourg as well as its authorization as an Electronic Money Institution.

In particular, the above implied a cross-border merger of Satispay Ltd (resident and licensed in UK) and Satispay Europe SA (Luxembourg). This complex reorganization and the authorization process in front of the competent Luxembourg regulatory authorities (i.e. CSSF and Ministry of Finance) have been successfully finalized in less than 5 months, also with the aim to avoid any possible issues related to Brexit.

Satispay is a fast-growing European fintech company providing a smart payment platform that enables mobile payment services based on an alternative network to credit and debit cards.

The Van Campen Liem team included Marcello Distaso, Jeremy Muszkatblit, Aldo Schuurman, Marieke Spee, Ekaterina Lebedeva, Andrew de Vries and Eduardo Trancho.

Cleary Gottlieb Steen & Hamilton has provided English law and Italian law assistance to Satispay with a team led by Roberto Bonsignore and Nallini Puri, assiste by David Singer, Alessandro Airaghi and Gianluca Russo.
