NVIDIA Corporation’s $5 Billion Notes Offering

Cooley acted as counsel to NVIDIA Corporation, while Davis Polk advised the sole underwriter, Goldman Sachs & Co., in the offering.

NVIDIA Corporation completed a $5.0 billion notes offering, consisting of $1.5 billion principal amount of 2.850% notes due 2030, or the 2030 Notes, $1.0 billion principal amount of 3.500% notes due 2040, or the 2040 Notes, $2.0 billion principal amount of 3.500% notes due 2050, or the 2050 Notes, and $0.5 billion principal amount of 3.700% notes due 2060, or the 2060 Notes.

The net proceeds from the offering of the Notes were approximately $4.97 billion. The Company intends to use the net proceeds of the offering for general corporate purposes, which may include, among other things, repayment of indebtedness.
