Grupa Azoty S.A.’s acquisition of COMPO EXPERT GmbH from XIO Group

Freshfields Bruckhaus Deringer has advised XIO Group, a London-headquartered private equity firm, on the sale of COMPO EXPERT GmbH, a leading manufacturer of specialty fertilizers for commercial use, to the listed Polish agrochemical group Grupa Azoty S.A.

The closing of the transaction is subject to customary regulatory approvals as well as the approval by the extraordinary general meeting of Grupa Azoty. Closing is expected to take place between Q4 2018 and Q1 2019.

When the acquisition of the COMPO EXPERT Group is completed, it will be the second investment of Grupa Azoty on the German market, which in 2010 acquired ATT Polymers, a company operating in the plastics segment.

The purchase price for 100% of shares in the COMPO EXPERT Group will not be higher than EUR 235 million and will be financed entirely with credit lines available to Grupa Azoty.
