European Energy’s Acquisition Of Largest Photovoltaic Project In Italy

Orrick assisted European Energy, a Danish company mainly active in the wind and photovoltaic sector, in entering into binding agreements for the acquisition (through its own Italian subsidiary) of 100% of Sun Project S.r.l., an SPV owner of a project for the construction of a photovoltaic plant with an expected power of 250 MW.

Orrick assisted European Energy in the due diligence on the asset being invested, as well as in the negotiation and drafting of the contractual documentation relating to the transaction, including the SPA governing the terms and conditions of the acquisition.

Orrick’s team was led by Partner Carlo Montella (picture), composed by Pina Lombardi, Of Counsel, and Celeste Mellone, Special Counsel, for administrative law and due diligence aspects, as well as by Andrea Gentili, Of Counsel, and Laura Galbiati, Associate, who oversaw the drafting and negotiation of all contractual documentation. The Orrick team supported an internal European Energy team dedicated to the transaction and coordinated by Alessandro Migliorini, Country Manager, and including, among others, Giulia Cappa, Legal Manager.

In the negotiation of the agreements that were then entered into, the seller Innovazione Energia S.r.l. was assisted by Attorney-at-Law Maria Elena Salupo of the Court of Palermo.
