The transaction with the hedge fund Elliott is the culmination of an extensive strategic alternative review conducted by a Special Committee of the Board of Directors.

Elliott Advisors (UK) Limited is a privately owned hedge fund sponsor. The firm invests in the public equity markets across the globe. It also invests in alternative markets.

Barnes & Noble, Inc. primarily operates as a bookseller in the United States. The company operates through two segments, B&N Retail and NOOK.
